Guidance :
(A). Initial Guidance: The initial guidance refers to
the guidance pertaining to the
Setting up of the institution which includes.
1. Designing the institute: Based on the surrounding
location and other competitors, we will suggest and help
you design your infrastructure
which has now become an integral part of any working
organization.
2. Initial staff recruitments: Where we will help you to
select the staff best suited for your organization.
3. Training of all the staff: Where our experts will
train everyone in your institution about their working,
erasing the possibility of the errors that
beginners make.
4. Basic Operations: Pertaining to HR, counseling,
marketing and all other operation or activities those
that are to be carried out in the normal
course of action.
(B). On going businesses guidance & support: We will
help you sort out problems Which your institute faces in
the normal course of businesses too. With the rich
experience of our people we propose to find a reasonable
solution to all your problems relating to the working of
the institute. Also the foundation of a good institute
is its faculty/administrative staff as and when if the
franchise faces problems to find a suitable faculty, we
would help the institute by finding a suitable faculty
and sending him/her from our side, as and when required.
Sales Kit:
This includes all the material that one needs to sell
the courses. It consist of prospectus , admission forms
etc. which contain all the information that an enquiry
might need e.g. course fee, course duration enquiry
field etc. This kit would not only provide the basic
information to the students but would also help
collecting that data of the student which the
institution would need. It would also explain and
specify all those legal aspect which would save the
institute from the unforeseen problems.
Teaching kit:
The essence of any coaching institute is its study
material. The study material would be provided by us
from time to time. The study material consists of three
parts:

This is the material in the form of the booklet which
the student carries back home to consult and study from.
Classroom Assignment :
These are issued to students at the beginning of each
class and contain questions and other relevant material
which is used for discussion in the class. It is
maintained on a ‘topic-wise’ basis.
Test Series :
This is a bunch of questions set and chosen on the basis
of the current erect exam pattern, not only to test the
student but also to give him/her the feel of the
examination. The study materials are upgraded from time
to time depending upon the course structure and pattern
of examination and would be sent to the franchise as and
when any up gradation is done.
Quality check :
We would help you maintain the quality by keeping
regular quality checks and inspection and would also
guide you about the weak areas of your institute quoting
ways to improve them.
Auditing :
We would send our expert accountants to carry out the
auditing of your institution and report you about the
flaws in your accounts if any, from time to time.

We would like the franchisee to devote full time in the
working of the institute, take interest in its
activities and work to his/her best.

The franchise should be sincere in his working and
should provide the best facilities to the students.
Willingness to Excel :
A no compromise attitude is essential. Our high academic
standards will have to be maintained and the franchise
is expected to raise the name of the institute grabbing
all sorts of opportunities that come in his/ her way.
Infrastructure :
A neatly done infrastructure with all modern facilities
built with reasonable standards with a minimum area of
about 1500-2000sq.feet is essential the place should be
centrally located with provision for parking and with
easy accessibility from all the bus and road routes.
Capital Investment :
An initial capital investment depending upon your area
and surroundings along with backup money to sustain is a
must. The figures for financial would vary from place to
place.

TERMS & CONDITIONS :
An initial franchise fee Rs.5,00,000 would be charged
based that one is taking franchise for which would be
for a period of 5 years and subsequent renewal would
cost the franchise a normal fee.
A 20% royalty in the gross revenue collection would be
charged from the franchisee. The publicity shall be done
at local as well as national level of the franchisee.
The cost of Newspaper Publicity at local level shall be
borne by local franchisee and at National level local
franchisee will contribute 15% of the total cost
The institute in turn shall give you one set of the
course study material, some prospectus and assignments.
If you require expert faculty from the head office than
payment should be made by franchisee. We hope that you

FRANCHISE AGREEMENT
This agreement is made at Surat on this date by and
between All India Institute of Aeronautics providing
training in the field of Aviation, Hospitality & Air
Ticketing & Travel Management, having its office
at1,2,3,4,5/Gangotri Apptt, Opp. Sargam Shopping Centre,
Athwalines, Surat (Gujarat)395007 through its
proprietor, namely Mr. JayenderSinh Kher (hereinafter
referred to as ‘FRANCHISOR’ which expression shall
includes its successors, legal representatives,
affiliates and permitted assigns) of the One part.
AND
hereinafter referred to as ‘FRANCHISEE’ (which
expression shall include its successors, legal
representatives, affiliates and permitted assigns) of
the Second part.
WHEREAS Franchisor is engaged in the profession of
Education & Running an Institute for students of various
academic and vocational education & Training and whereas
Franchisee has in its possession above stated premises
situated at
(Hereinafter referred to as the ‘premises”) the premises
will be used for the purpose of running a coaching
institute under the brand name of All India Institute of
Aeronautics (AIIA).
And whereas it is agreed between the parties that
franchisee shall run a coaching centre at by using named
style, trademark of AIIA as deeded by one parties and
the term and condition of which re stipulated
hereinafter.
Now, therefore, it is hereby agreed by and between the
parties as follows:
1. (a) That this Agreement is for the period of 60
months from the date of execution of this Agreement.
(b) That the execution date means date on which franchise
fees / license fees has been received by the franchisor
and franchisee started to
run the institute with the name
“AIIA”.
2. SCOPE OF FRANCHISEE’S OBLIGATIONS
2.1 Franchisee, unless otherwise agreed by
franchisor in writing , shall do provide and continue to
do and provide all the following:
(a) make available the entire premises for learning
centre continuously and uninterruptedly, unless the
franchisee is prohibited under any
law specifically during
the term of this agreement for the purpose of using the
premises as learning centre (hereinafter referred to as
“centre”) under the name
and style “AIIA”
(b) Franchisee shall at his/her/ its own costs expenses
provide all the teaching faculty facilities required for
the centre.
(c) Franchises shall at his/ her/ its own costs and
expenses provide all the furniture and telephone
connections required for the centre.
(d) Franchisee shall at his / her/ its own costs and
expense provide prospectus, study materials, test paper,
screening test, Boucher, hand
bill and insertion
required for the centre and shall conduct screening test
,examination, exercises and other test on the
instruction of
franchisor.
(e) Franchisee shall during the course of this
agreement, at his/ her /its own costs and expenses, keep
coaching centre and furniture
provided by his/ her/ it
in good condition. All maintenance expenses or A.M.C.
shall be borne by franchisee.
2.2 Franchisee shall not open or run any other centre or
sub-centre without the written consent of the Franchisor
2.3 Franchisee shall incur at least 20% of receipts of
annual receipt of advertisement during the year as
prescribed by the Franchisor from time
to time.
2.4 Franchisee shall maintain all the records of
students enrolled and send a copy of Registration
Application to Franchisor once in a calendar
month.
2.5 The premises, furniture and fixtures will remain the
property of the Franchisee and the Franchisor has no
lien on the same. The building
furniture and fixtures thereto will always be in
possession of Franchisee and the Franchisee shall have
absolute right to keep the lock and
key of the centre but will keep the centre open for the
time period during the day as desired by the Franchisor.
2.6 Franchisee shall issue a pre printed serial numbered
receipts against tuition fee decided by the Franchisor
and maintain the accounts of
the centre and send report of all collections of the
centre to Franchisor once in a calendar month.
2.7 Franchisee shall make timely payment of government
taxes and immediately will provide a photocopy of the
challan of service tax to the
Franchisor for their reference and records.
2.8 Franchisee shall be entirely responsible to the
students enrolled by it for imparting classroom training
and education at the centre.
2.9 Franchisee shall properly display and fix signboard
as “AIIA institute of Aviation, Hospitality and Air
Ticketing & Travel Management
Studies” and other Logos along with the name of the
institute as advised by the Franchisee.
3. SCOPE OF FRANCHISER’S OBLIGATIONS
3.1 Franchiser shall assist Franchisee in establishment
and running of the centre professionally from the
premises and assist teaching guest
faculty for conducting classes for students at
local centre.
3.2 Franchiser shall assist in appointment of teaching
faculty for running the centre.
3.3 Franchiser may at its own discretion and without
reference to or interference from the Franchisee
commence, do carryon or to commence,
done, carried on any activity/activities other
than the main activity and the Franchisee shall have no
objection thereto, whatsoever
3.4 Franchiser shall provide one set of study material,
mock test, screening test and other test papers to the
Franchisee.
3.5 Franchiser shall arrange lecture to be delivered by
its faculty members at the centre on mutual agreed
basis, subject to separately
payments be made to visiting faculty on agreed
hourly basis in addition to traveling, lodging and
boarding expenses of visiting faculty shall
be borne by the Franchisee.
4. PAYMENT OF LICENSE FEE AND REVENUE SHARING
4.1 License fee
4.1.1 Franchisee has paid to Franchisor on or before the
execution of the agreement a non refundable license fee
of Rs. 5, 00,000/- as
applicable.
4.2 Revenue Sharing
4.2.1 The total collection during the month from the
centre shall be collected by the Franchisee apportioned
on a monthly basis in the following
manner: -
(i) 80% of the gross monthly
collection to the Franchisee
(ii) 20% of the gross monthly
collection to the Franchiser
4.2.2 It is also agreed between the parties the service
tax is absolute liability of the Franchisee.
4.2.3 The Monthly payments under clauses 4.2.1 above
shall be made by Franchisee into a designated bank
account of the Franchiser or by
cheque to the Franchiser payable at
New Delhi on or before 10th day of each succeeding
English calendar month. In the event the
Franchisee fails to make the monthly
payments till 15th of the month then Franchiser can
charge a penalty of Rs. 500/day.
5. ADDITIONAL OBLIGATIONS OF FRANCHISEE,
REPRESENTATION AND WARRANTIES OF FRANCHISEE :
5.1 Franchisee shall at its own cost and
expenses get all the necessary written permissions from
the local authorities for the use of the
premises as local centre if so
required.
5.2 Franchisee shall have no right on the
Trade name, Trade marks, Intellectual properties, Logo
and on any study material supplied by the
Franchiser either during the term of
this agreement or after completion of the tenure of this
agreement.
5.3 Franchisee shall pay all present and
future applicable taxes levies arising out of, related
to or connected with the running of the centre
under the terms of this agreement.
5.4 Franchisee shall not enter into similar
arrangement or Agreement with any other company or
individual during the term of this agreement
nor shall commence or carry on any
such similar business in the e same region.
6. TERMS AND TERMINATION :
6.1 This agreement shall be valid for an
initial term of three years from the date of execution
unless otherwise determined earlier in
accordance with agreement. The
parties may be by mutual agreement deciding to extend
the term of the agreement on mutual terms and
conditions.
6.2 Lock in period: Both parties agree
that the minimum period of operation of this agreement
is for 36 months from the date of
commencement of the business and each
party guarantees the other party about this term, both
about the performance of this
agreement.
6.3 Either party may terminate this
agreement by giving a 30 day notice to the other party,
if the other party has committed any breach of
this agreement. Provided that if the
breach can be rectified, a written notice should be
issued to defaulting party by the aggrieved party
and the defaulting party fails to
rectify the breach within 15 days from the date of such
notice, the aggrieved party may proceed to
terminate the agreement in writing.
7. MUTUAL WARRANTIES AND REPRESENTATION :
7.1 Each party warrants that it has full
power to enter into this agreement and to perform its
obligations hereunder according to the terms of
this agreement and that it has taken
all necessary actions to authorize its entry into and
performance of this agreement.
7.2 Each party warrants that the statements
made relating to it in this agreement are true and
accurate and that nothing needs to be stated
to prevent such statements from being
misleading.
8. MISCELLANEOUS :
8.1 Notices and Languages
Notices under this agreement shall be sent by
registered Airmail or Postage Prepaid or Telex/Fax shall
be regarded as properly given 7
days after 3 mailing dates or the date of
submission of Telex/Fax and shall be regarded as
properly addressed to Franchiser and
Franchisee respectively.
No modification, amendments or alterations of
this agreement shall be made except signed by authorized
representative of both parties of
this agreement.
8.2 Assignment
The Franchisee shall not assign or otherwise
transfer the benefit of this agreement or any interest
arising there from without the previous
consent in writing of the Franchiser.
8.3 Law Applicable
This agreement shall be governed by, and
constructed in accordance with Indian laws and such law
shall also govern in the settlement by
arbitration, court proceedings, or otherwise, of
any and all disputes arising between the parties as well
as the validity of the arbitration
clauses in this agreement
8.4 Relationship between the parties
The parties do not intend to create nor shall be
deemed to have created any partnership, collaboration,
joint ventures and the like. The
relationship of the parties shall be strictly on
a principal-to-principal basis.
8.5 Change in the constitution
The Franchisee shall not change its constitution
in any manner or wind-up or dissolve, amalgamate or
merge with any other person or
entity without the previous consent in writing of
the Franchiser
8.6 Arbitration
Any dispute or claim, which may arise out of or
in relation to the present agreement or in connection
with the same, is to be referred to the
decision by arbitration. The disputes shall be
settled by arbitration in accordance with the Indian
arbitration and conciliation ACT, 1996.
The arbitration shall be held in New Delhi. The
arbitration shall be conducted in English language. The
award of the respective arbitration
will be binding upon all parties.

agreement on the day and year written first above.
